Texas LLC Formation

The formation of your Limited Liability Company is a filing done with the Secretary of State to formally and legally list your company in Texas. This allows you to do business within the state of Texas, pay employees residing in Texas, and so on. The returned paperwork is known as your Articles of Organization.

Benefits of starting an LLC include protection of your assets, separation of your finances from the business finances and the business becomes its own legal entity. Compared to Corporations, LLCs are more straightforward, have a bit more tax flexibility, and don’t require shareholder meetings.

To form a Limited Liability Company in Texas you will need a few things:

  • A suffix. The ending to your business name must include one of the following: Limited Liability Company , Limited Company , LLC , L C , L.C. , Ltd. Co. , Ltd Co , Ltd. Co , Ltd Co. , Ltd Company , L.L.C. , L. L. C. , LLC. , LC
  • A Registered Agent that is located within Texas. A company cannot be its own Registered Agent
  • A mailing address, which can be anywhere
  • One or more governing persons. LLCs require either Members or Managers. Members are owners of the business, while Managers are decision-makers. Managers can be owners of a business too, but aren’t inherently. A Member or Manager can be another business.
  • Additional provisions (if desired)
