Texas Amendment
An Amendment is used to update different types of information shown on the state record, ranging from the business name to the governing persons listed on the business. An Amendment serves as an addition to the original formation or registration paperwork. The Secretary of State does not allow the formation documents to be changed and instead offers an Amendment to add onto them to show the new information.
For an Amendment in Texas you would provide one or more of the following details:
- The new company name
- The name of the governing person(s) to remove
- The name and address of the governing person(s) to add
- New management structure
- The provisions to add or remove
- The new shares or share values
- The new Registered Agent information (if only updating the Registered Agent, see Change of Registered Agent filings)
