The registration of your LLC or PLLC is a filing done with the Secretary of State to formally and legally list your company to do business in Texas while having it still linked to your business in it’s home (domestic) state. There are many reasons to register a business in Texas, but the most common examples are having employees that reside in Texas or coming to Texas to conduct some type of business within the border of the state itself.
To register a Limited Liability Company in Texas you will need a few things:
- The home state and company start date in it’s home state
- A suffix. The ending to your business name must include one of the following: Limited Liability Company , Limited Company , LLC , L C , L.C. , Ltd. Co. , Ltd Co , Ltd. Co , Ltd Co. , Ltd Company , L.L.C. , L. L. C. , LLC. , LC
- A Registered Agent that is located within Texas. A company cannot be its own Registered Agent
- A principal address, which can be anywhere
- One or more governing persons. (P)LLCs require either Members or Managers. Members are owners of the business, while Managers are decision-makers. Managers can be owners of a business too, but aren’t inherently. A Member or Manager can be another business.
- A business purpose, which can be generic
- Additional provisions (if desired)
