Nebraska LLC Formation

Nebraska is considered a private state, meaning the governing person information isn’t listed on the state record.

When filing here, the state requires that the business publish all the information included in the Certificate of Organization to the paper for three weeks. This should be published in the paper local to your business location. Once the three weeks is up, the paper should send you a Affidavit of Publication to show that the requirement was met, which you would need to submit it to the Nebraska Secretary of State with a filing fee of $25 if done online. If the paper doesn’t send this to you after three weeks, just be sure to reach out and remind them.

Nebraska has a biennial report, meaning that every other year a report must be filed with the state to remain in good standing. This is an affordable $10 to file and lets the state know who owns your LLC and how to contact the business. Due by April 1st, it’s important to ensure this is filed to avoid dissolution.
