Texas Nonprofit Formation

The formation of your Nonprofit is a filing done with the Secretary of State to formally and legally list your company or organization to do business in Texas.

Benefits of starting a Nonprofit include protection of your personal assets, separation of your finances from the business finances and the business becomes its own legal entity, meaning it can sue and be sued. Nonprofits have the ability to be tax exempt as well, bringing an additional perk to the table.

To form a Nonprofit in Texas you will need a few things:

  • A Registered Agent that is located within Texas. A company cannot be its own Registered Agent
  • A mailing address, which can be anywhere
  • Three or more Directors. A Director must be a natural person
  • A business purpose, which can be a generic statement
  • Additional provisions, including tax exempt language (if desired)
